A preliminary proxy filing describes the transaction as a change of control of the wealth management company. Financial terms were not disclosed and the transaction remains pending.
An acquisition vehicle controlled by FTV Capital has agreed to acquire an approximately 51% interest in Kingsview Partners, according to a preliminary proxy statement filed in connection with investment funds advised by a Kingsview subsidiary.
The filing says certain legacy owners of Kingsview Partners entered into a purchase agreement on August 25, 2026, to sell the interest to Windsor KV Holdings, Inc., a Delaware corporation indirectly wholly owned by FTV Management Company, L.P.
The filing describes the transaction as a presumptive change of control of Kingsview Wealth Management LLC under the Investment Company Act of 1940. Kingsview Wealth Management is a subsidiary of Kingsview Partners and serves as investment adviser to a group of Monarch exchange-traded funds.
Kingsview and FTV publicly announced the transaction on August 27 as a significant growth investment but did not disclose the ownership percentage in that announcement. The companies said the financial terms were not disclosed and that the transaction was expected to close in the fourth quarter of 2026, subject to customary closing conditions and regulatory filings.
The deal has not yet closed.
FTV representatives Kyle Griswold, Mike Vostrizansky and Brandon Spierto are expected to join Kingsview’s board following completion of the transaction. Kingsview’s existing management team is expected to continue leading the company and retain significant ownership.
Kingsview said the transaction is intended to support expansion of its advisor network, investment in technology and operations, and broader financial-service capabilities covering financial planning, investment management and insurance.
Founder and CEO Josh Lewis leads Kingsview Partners. The company operates an independent wealth-management platform that provides advisors with technology, compliance, operational and marketing infrastructure.
Kingsview said it currently has more than $10 billion in assets under management and serves more than 15,000 households through more than 100 financial advisors operating from over 70 offices across 23 US states.
Its advisory business operates through Kingsview Wealth Management, while Kingsview Investment Management provides asset-management capabilities and Kingsview Insurance Services offers insurance and retirement-income services.
Houlihan Lokey, which served as Kingsview’s exclusive financial adviser on the transaction, continues to list the deal as pending.
